1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Cellusion Tech FZE ("Company," "we," "us," or "our"), a company registered in Dubai, United Arab Emirates, governing your access to and use of the LocalityAPI services, including our API, website, documentation, and any related services (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

LocalityAPI provides a RESTful API service that delivers global location data, including but not limited to:

• Country, state/region, and city information
• Geographic coordinates and timezone data
• Administrative region hierarchies
• Location search and lookup capabilities

3. Account Registration

To access certain features of our Services, you must register for an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your API keys and credentials confidential
• Be responsible for all activities under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account and use our Services.

4. API Usage and Rate Limits

Your use of the API is subject to the following usage limits based on your subscription plan:

Exceeding your plan's limits may result in temporary suspension of API access or additional charges, depending on your plan configuration. We reserve the right to modify rate limits with reasonable notice.

5. Prohibited Uses

You agree not to use the Services to:

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the API
• Scrape, crawl, or use automated means to access the Services beyond the intended API functionality
• Resell, redistribute, or sublicense API access without our prior written consent
• Use the Services to build a competing product or service
• Interfere with or disrupt the integrity or performance of the Services
• Attempt to gain unauthorized access to the Services or related systems
• Use the Services for any illegal or unauthorized purpose
• Violate any applicable laws, regulations, or third-party rights
• Transmit malware, viruses, or other malicious code
• Circumvent or attempt to circumvent rate limits or usage restrictions

6. Payment Terms

6.1 Pricing and Billing

Paid plans are billed in advance on a monthly or annual basis as selected during checkout. All fees are non-refundable except as expressly stated in these Terms or required by law.

6.2 Payment Processing

All payments are processed securely through Stripe. By providing payment information, you authorize us to charge your payment method for all fees associated with your account. You are responsible for providing accurate and complete billing information.

6.3 Price Changes

We reserve the right to modify our pricing with at least 30 days' notice. Price changes will take effect at the start of your next billing cycle following the notice period.

6.4 Failed Payments

If payment fails, we will attempt to charge your payment method again. After repeated failed attempts, your account may be downgraded to the Free plan or suspended until payment is resolved.

7. Intellectual Property

The Services, including all content, features, and functionality, are owned by Cellusion Tech FZE and are protected by international copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms. This license does not include the right to modify, distribute, or create derivative works from the Services without our prior written consent.

8. Account Termination

8.1 Termination by You

You may cancel your account at any time through your account dashboard or by contacting us. Upon cancellation, your access to paid features will continue until the end of your current billing period.

8.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice or liability, if:

• You breach any provision of these Terms
• Your use of the Services poses a security risk or may cause harm to us, other users, or third parties
• Your account has been inactive for more than 12 months
• We are required to do so by law
• We discontinue the Services

8.3 Effect of Termination

Upon termination, your right to access and use the Services will immediately cease. We may delete your account data after a reasonable retention period, except where we are required to retain it by law.

You agree to indemnify, defend, and hold harmless Cellusion Tech FZE and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in Dubai, UAE, in accordance with the rules of the Dubai International Arbitration Centre (DIAC). The language of the arbitration shall be English.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after any changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions of these Terms will remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cellusion Tech FZE regarding the Services and supersede all prior agreements, understandings, and communications, whether written or oral.
