1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Cellusion Tech FZE ("Company," "we," "us," or "our"), a company registered in Dubai, United Arab Emirates, governing your access to and use of the LocalityAPI services, including our API, website, documentation, and any related services (collectively, the "Services").
By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
2. Description of Service
LocalityAPI provides a RESTful API service that delivers global location data, including but not limited to:
- Country, state/region, and city information
- Geographic coordinates and timezone data
- Postal code lookups and validation
- Administrative region hierarchies
- Location search and autocomplete capabilities
3. API Usage and Rate Limits
Your use of the API is subject to the following usage limits based on your subscription plan:

Exceeding your plan's limits may result in temporary suspension of API access. We reserve the right to modify rate limits with reasonable notice.
4. Account Registration and Security
To access certain features of our Services, you must register for an account. When registering, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your API keys and credentials confidential
- Be responsible for all activities under your account
- Notify us immediately of any unauthorized use
5. Payment and Billing
Paid plans are billed monthly in advance. All payments are processed securely through Stripe.
- Auto-renewal: Subscriptions automatically renew each billing period unless cancelled
- Price changes: We reserve the right to modify pricing with 30 days' notice
- Refund policy: Refunds may be requested within 7 days of initial purchase. No refunds after 7 days.
- Failed payments: Accounts may be downgraded or suspended after repeated payment failures
6. Acceptable Use Policy
You agree not to use the Services to:
- No reverse engineering: Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying algorithms of the API
- No bulk scraping: Systematically download or scrape all data from our API to create a competing database
- No reselling raw data: Resell, redistribute, or sublicense raw API data without our prior written consent
- No illegal use: Use the Services for any illegal or unauthorized purpose
- No interference: Interfere with or disrupt the integrity or performance of the Services
- No circumvention: Circumvent or attempt to circumvent rate limits or usage restrictions
7. Intellectual Property
The Services, including all content, features, and functionality, are owned by Cellusion Tech FZE and are protected by international copyright, trademark, and other intellectual property laws.
Our data and API are proprietary. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms. This license does not include the right to modify, distribute, or create derivative works from our data without our prior written consent.
8. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT THE RESULTS OBTAINED FROM THE SERVICES WILL BE ACCURATE OR RELIABLE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CELLUSION TECH FZE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
10. Termination
We may suspend or terminate your account immediately, without prior notice or liability, if:
- You breach any provision of these Terms
- Your use of the Services poses a security risk
- Your account has been inactive for more than 12 months
- We are required to do so by law
You may cancel your account at any time through your account dashboard.
11. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website. Your continued use of the Services after any changes constitutes acceptance of the modified Terms.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising out of these Terms shall be resolved through binding arbitration in Dubai, UAE.
